Welcome to URITECT, an AI-powered platform designed to help users create architectural designs, visualize interior and exterior layouts, and explore creative ideas. By using our website or services, you agree to be bound by the following terms and conditions.

These Terms of Service (“Terms”) govern your use of the URITECT platform, an AI-powered tool for generating architectural designs. By accessing or using our services, you agree to these Terms, which constitute a binding legal agreement between you and Uritect Inc., based in Ontario, Canada.

1. Acceptance of Terms

By using the URITECT platform, you agree to comply with these Terms. If you do not agree, you must discontinue use of our services immediately. We may revise these Terms at any time, and your continued use of the platform will indicate your acceptance of the revised Terms.

2. User Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. We reserve the right to suspend or terminate accounts without notice for any activity that violates these Terms or any applicable law.

3. Service Usage and Fair Use Policy

URITECT provides various subscription plans with defined usage limits. Excessive or abusive use that may negatively impact the platform’s performance for other users is prohibited. We reserve the right to suspend accounts that breach these usage limits or involve the use of automated tools that overload our system.

4. Intellectual Property and License

All content provided by URITECT, including but not limited to AI-generated designs, graphics, and software, is the intellectual property of Uritect Inc.. Users are granted a non-exclusive, revocable license to use these materials for personal or internal business purposes. You may not reproduce, modify, or distribute any content without our prior written consent.

User-uploaded content remains the intellectual property of the user, but by uploading, you grant URITECT a perpetual, royalty-free, worldwide license to use, display, and distribute your content for the purpose of providing the services.

5. AI Output and Limitations

URITECT uses AI to generate design suggestions, but the platform does not guarantee the accuracy, structural soundness, or suitability of any AI-generated output. These designs are for inspiration purposes only and should not be used as final architectural plans. It is your responsibility to consult with licensed professionals (architects, engineers, etc.) before implementing any designs created on our platform. URITECT disclaims any liability for damages arising from the use or misuse of its AI-generated content.

6. Limitation of Liability

To the fullest extent permitted by applicable law, URITECT, its officers, directors, employees, or agents will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of the platform, including but not limited to any loss of profits, data, or goodwill, regardless of whether such liability is based on contract, tort, or otherwise, and even if URITECT has been advised of the possibility of such damages.

If any liability is found, URITECT’s total liability for any claims relating to these Terms or your use of the platform will be limited to the amount you paid for the service in the 12 months preceding the claim.

7. Indemnification

You agree to indemnify and hold URITECT, its affiliates, officers, employees, and agents harmless from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the platform, your violation of these Terms, or your infringement of any third-party rights, including but not limited to intellectual property or privacy rights.

8. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be exclusively resolved through binding arbitration in Ontario, under the rules of the Canadian Arbitration Association. Any claims must be brought within one (1) year of the occurrence of the event giving rise to the claim.

9. Data Protection and Privacy

Your personal information is collected and processed in accordance with our Privacy Policy, which complies with the Personal Information Protection and Electronic Documents Act (PIPEDA). By using the platform, you consent to the collection, use, and sharing of your information as outlined in our Privacy Policy.

10. Termination

We reserve the right to suspend or terminate your access to the platform at our sole discretion, without notice or liability, if we determine that you have violated these Terms or applicable laws. Upon termination, your right to use the platform will cease immediately, and any provisions of these Terms that by their nature should survive termination (including, but not limited to, intellectual property and indemnity clauses) will remain in effect.

11. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from the remaining terms and will not affect the validity and enforceability of the remaining provisions.

12. Force Majeure

URITECT shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including, but not limited to, acts of God, war, strikes, attackers hack, or government regulations.
